Terms of Use

These Terms of Service (“Terms”) govern access to and use of the PharmCRM website, applications, APIs, and related services (collectively, the “Services”) provided by PharmCRM- A Product of Valcare LLC (“PharmCRM,” “we,” “our,” or “us”).

By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

1. Eligibility and Authority

If you are using the Services on behalf of a company, pharmaceutical organization, or other legal entity, you confirm that you are an authorized representative.

2. Privacy and Data Use

Our Privacy Policy describes how we collect, use, and safeguard information and is incorporated into these Terms by reference.

You retain ownership of all data, records, and content entered into the Services. PharmCRM processes data only to provide the Services, maintain security, improve functionality, and comply with applicable legal obligations.

PharmCRM does not sell customer data. While we apply reasonable safeguards, you acknowledge that no system can guarantee absolute security.

3. Intended Use of the Services

PharmCRM is designed to support pharmaceutical and life sciences commercial operations, including CRM workflows, reporting, analytics, and operational tracking.

You are solely responsible for:

  • Accuracy and legality of data entered into the system
  • Compliance with applicable laws, regulations, and industry codes
  • Determining whether the Services meet your internal, regulatory, or compliance requirements

PharmCRM does not provide legal, regulatory, medical, or compliance advice.

4. Regulatory Responsibility

You acknowledge that pharmaceutical and life sciences activities are subject to complex regulatory requirements, including but not limited to FDA, EMA, Sunshine Act, and local compliance frameworks.

You remain fully responsible for:

  • Regulatory compliance
  • Reporting obligations
  • Use of the Services in accordance with applicable laws

PharmCRM provides tools, not regulatory determinations.

5. Account Registration and Security

You must provide accurate and current account information.
You are responsible for safeguarding credentials and for all activity under your account.

Notify PharmCRM immediately of any unauthorized access or security incident.

6. Acceptable Use

You agree not to:

  • Use the Services for unlawful or fraudulent purposes
  • Upload malicious code or disrupt system integrity
  • Access data or systems without authorization
  • Misrepresent your identity or business affiliation
  • Use the Services in a way that violates contractual or regulatory obligations

We reserve the right to investigate misuse and take corrective action.

7. Fees and Subscriptions

Some features require paid subscriptions. Pricing, billing cycles, and payment terms are presented at the time of purchase or governed by a separate agreement.

Fees are non-refundable unless explicitly stated otherwise. Taxes are your responsibility unless required otherwise by law.

8. Intellectual Property

All intellectual property related to the Services, including software, interfaces, designs, trademarks, and documentation, is owned by PharmCRM or its licensors.

You receive a limited, non-exclusive, non-transferable right to use the Services during your subscription period.

9. Third-Party Services

The Services may integrate with third-party platforms or data sources. PharmCRM is not responsible for third-party systems, availability, or content. Your use of third-party services is governed by their terms.

10. Service Availability and Modifications

We may update, enhance, or discontinue features of the Services. We will make reasonable efforts to notify customers of material changes that affect paid subscriptions.

11. Termination

You may discontinue use of the Services at any time.
PharmCRM may suspend or terminate access for violation of these Terms, non-payment, or actions that create legal, security, or operational risk.

Upon termination, access will end and data handling will follow our Privacy Policy and applicable law.

12. Disclaimers

The Services are provided on an “as is” and “as available” basis.
PharmCRM disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee uninterrupted operation or suitability for every regulatory or business scenario.

13. Limitation of Liability

To the maximum extent permitted by law, PharmCRM is not liable for indirect, incidental, consequential, or special damages, including loss of data, revenue, or business opportunities.

14. Indemnification

You agree to indemnify and hold harmless PharmCRM from claims, losses, liabilities, and expenses arising from your use of the Services, your data, or your regulatory obligations.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Any dispute must be brought exclusively in state or federal courts located in Florida.

16. Changes to These Terms

We may update these Terms periodically. Updated Terms will be posted with a revised effective date. Continued use of the Services indicates acceptance of the updated Terms.
